TERMS AND CONDITIONS OF SALE AND DELEVERY
At Wepco AS, we want our customers to know what to expect when working with us. These terms and conditions explain how we handle offers, orders, deliveries, pricing, and responsibilities, as well as what happens if challenges or delays occur. They are designed to ensure clear and fair cooperation, giving both parties confidence in every delivery.
How Our Agreements Work
Scope
These terms apply to all deliveries of machined parts and services from Wepco AS, unless otherwise agreed in writing.
Offers and Agreement
Offers are valid for 30 days from the date, with reservation for prior sale of materials or machining capacity, unless otherwise stated.
An order is binding once it has been confirmed in writing by Wepco AS.
Customer’s Responsibility
The customer must provide correct drawings preferably with metric dimensions, specifications, and any supplied materials. If materials are provided by the customer, the customer bears the risk for quality, tolerance, and suitability. Wepco AS disclaims responsibility for errors caused by the customer’s specifications or material choice.
Delivery and Lead Time
Delivery time is agreed upon in each case. Delays caused by circumstances beyond the control of Wepco AS (delayed material supply, machine breakdown, force majeure, etc.) do not entitle the customer to compensation.
Price and Payment
Prices are agreed upon in advance, either as hourly rate, unit price, or fixed price. All prices are exclusive of VAT, packaging, and freight.
Payment terms are 30 days net from invoice date, unless otherwise agreed.
Risk and Ownership
When machining is performed on customer-supplied material, the risk remains with the customer. For finished parts delivered by Wepco AS, risk and ownership transfer to the customer upon delivery.
Claims and Complaints
The customer shall inspect the delivered goods immediately upon receipt. Any defects or deviations must be reported in writing within 7 days. Wepco’s liability is limited to correcting the defect, reworking the product, or crediting the affected delivery. Liability for consequential damages is excluded.
Limitation of Liability
Wepco AS’s total liability is limited to the invoiced value of the specific delivery. Indirect losses such as downtime, lost profits, or third-party claims will not be compensated.
Force Majeure
If unforeseen events beyond the control of Wepco AS prevent fulfillment of the agreement, delivery will be postponed accordingly, or the agreement may be canceled without liability.
Governing Law and Jurisdiction
The agreement is governed by Norwegian law.
Any disputes shall be settled by the court of Stavanger.
